Corporate Development Manager

Overview: Interested in structuring, valuing and negotiating complex financial transactions for the world’s largest technology company? Microsoft’s Corporate Development group is a small team of deal professionals that sources, evaluates and executes acquisitions, divestitures, investments, joint ventures and partnerships for Microsoft. The team interacts regularly with Microsoft’s senior management, including frequent discussions with the company’s CEO and CFO. The team is looking for highly motivated Mergers and Acquisitions professionals with a passion for technology.

Microsoft generates approximately $60 billion of annual revenues and is organized in five distinct divisions that span a variety of technology sectors that include consumer and enterprise software, new media, entertainment, telecommunications and mobile devices. Microsoft is an active acquirer and has closed over 40 acquisitions in the past three years and over 100 acquisitions since the beginning of 2001. Deal volume is expected to increase as acquisitions continue to be a key driver of Microsoft’s growth in the coming years, complementing a broad range of new products in the pipeline. Additionally, Microsoft continues to evaluate and fund domestic and international equity investments and joint ventures in strategic areas across all of our lines of business.

Responsibilities: Managers will play an integral role in charting the future direction of Microsoft and will participate in landscape-defining transactions. They will join an accomplished team of individuals with MBAs and JDs from top schools that have extensive M&A experience from leading investment banks, private equity firms, consulting firms and corporations. For any given deal, Corporate Development Managers will lead valuation analysis. They will also actively participate in deal structuring, negotiation strategy, review of term sheets and definitive agreements, and they will play a vital role in upfront idea generation, strategic evaluation and business planning, coordination of financial, tax and legal due diligence, and post-close integration planning. Managers will also interface with the investment banking, venture capital and startup communities and will conduct special projects for business group CFOs and executives to evaluate new business opportunities.

As the role evolves, the Corporate Development team encourages and supports Managers to pursue bigger challenges and assume greater responsibilities. Furthermore, leaders of this team are highly dedicated to personal career development; they organize advanced M&A training sessions, meet with each Manager on a regular basis to discuss career development and offer personal coaching to improve professional skills. In the long-term, the senior leadership of Microsoft will continue to look to the Corporate Development team as a source for new business leaders within the company, building on an already strong tradition of exporting talent to Microsoft’s business groups.

Given this philosophy, this position is NOT structured as a pre-MBA program. There are a number of Managers who have later assumed large leadership roles in the group without an MBA, moved on to exciting operational and financial roles within Microsoft, or pursued an MBA at top-tier business schools.

Qualifications: We are looking for professionals with at least two years of analyst experience from a top-tier investment bank, preferably with mergers and acquisitions transaction experience. Ideal candidates will be self-starters, have strong financial skills and robust valuation expertise and the ability to work independently in a rapidly changing business environment. Personal integrity, initiative, strong written and verbal communication skills and the ability to work as part of a team in an environment that demands excellence are essential. A passion for technology is a positive.
